Terms of Service

The terms that apply when you access the AgentDex website, beta program, and service.

This page is intended to present clear, readable legal terms for users of AgentDex. It should still be reviewed and finalized by legal counsel before public launch.

Agreement To Terms

These Terms of Service ("Terms") govern your access to and use of AgentDex, including our website, beta program, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

The Service is provided by Agent School LLC ("Agent School," "we," "us," or "our"). If you access or use the Service on behalf of a company, fund, or other organization, you represent and warrant that you have authority to bind that entity to these Terms.

Eligibility And Accounts

You may use the Service only if you can form a binding contract under applicable law and your use of the Service is not otherwise prohibited. You must provide accurate, current, and complete account information and keep it updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us if you suspect unauthorized access to your account or any other security incident involving the Service.

Use Of The Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal personal or business use. You may use the Service only in compliance with these Terms and all applicable laws.

You may not misuse the Service, interfere with its operation, bypass security measures, attempt unauthorized access, reverse engineer the Service except where prohibited by law, or use the Service to store, process, or transmit unlawful, infringing, deceptive, or harmful material.

User Content And Permissions

As between you and Agent School, you retain ownership of the content, data, notes, imports, and other materials you submit to or process through the Service ("User Content"). You grant Agent School a limited, non-exclusive, worldwide license to host, process, transmit, reproduce, display, and otherwise use User Content solely as necessary to provide, maintain, secure, support, and improve the Service.

You are solely responsible for your User Content and for ensuring that you have all rights, permissions, consents, and legal bases necessary to upload, connect, or process that content through the Service, including any data relating to third parties.

Acceptable Use

You may not use the Service to violate the rights of others, infringe intellectual property, process data without appropriate authorization, distribute malware, send spam, harass others, or engage in unlawful, abusive, or fraudulent conduct.

You may not use the Service in a manner that could disable, overburden, damage, or impair the Service or interfere with any other user's access to or use of the Service.

Third-Party Services

The Service may interoperate with third-party providers, including authentication, calendar, contact, analytics, hosting, communications, and other integration partners. Your use of any third-party service is governed by that provider's own terms, policies, and practices.

We are not responsible for third-party services, and we do not guarantee that any integration will remain available, uninterrupted, or compatible with the Service.

Beta Features And Availability

Certain parts of the Service may be offered in beta, preview, early-access, or experimental form. Beta features may be incomplete, contain errors, change materially, or be suspended or discontinued at any time without notice.

We may grant, deny, suspend, or revoke beta access at our discretion. You acknowledge that beta functionality is provided for evaluation purposes and may not be subject to the same testing, support, uptime, or performance standards as a generally available product.

Intellectual Property

The Service, including its software, design, branding, text, graphics, interfaces, and underlying technology, is owned by Agent School or its licensors and is protected by intellectual property and other applicable laws.

Except for the limited access rights expressly granted in these Terms, no right, title, or interest in or to the Service is transferred to you.

Feedback

If you provide feedback, suggestions, ideas, or recommendations regarding the Service, you grant Agent School a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and exploit that feedback for any lawful purpose, without compensation or attribution to you.

Termination

You may stop using the Service at any time. We may suspend, restrict, or terminate your access to the Service, with or without notice, if we believe you have violated these Terms, created risk for other users, exposed us to legal or operational risk, or used the Service in a manner that is harmful, unlawful, abusive, or inconsistent with the intended use of the Service.

Upon termination, your right to access and use the Service will cease immediately. Sections of these Terms that by their nature should survive termination will survive, including provisions relating to ownership, disclaimers, limitations of liability, governing law, and dispute-related terms.

Changes To The Service Or Terms

We may modify, suspend, or discontinue all or part of the Service at any time. We may also revise these Terms from time to time. If we make material changes, we may provide notice by updating the date on this page, through the Service, or by other reasonable means.

Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.

Disclaimers

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. To the maximum extent permitted by law, Agent School disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or quiet enjoyment.

Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any content or output generated, displayed, or surfaced through the Service will be complete, accurate, or suitable for your purposes.

Limitation Of Liability

To the fullest extent permitted by law, Agent School LLC and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, business opportunity, or anticipated savings, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Agent School's aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) one hundred U.S. dollars (US$100) or (b) the amount you paid us, if any, for the Service in the twelve (12) months preceding the event giving rise to the claim.

Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be governed by the laws of the United States, without regard to conflict-of-law principles, subject to further refinement by legal counsel.
